This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Points4Purpose Pty Ltd (ABN 98 611 672 505) ("Licensor", "we", "us", or "our") governing your access to and use of the dev p4p website, mobile application, and related services (collectively, the "Software") available at dev.points4purpose.com.au. By accessing, downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.

  1. Scope and User Types

    This Agreement governs your access to and use of the Software according to the account type you register for or are authorised to use, including as a Member, Business, Merchant, Charity, or other participating organisation. Members typically use the Software for personal shopping, earning rewards or cashback, and supporting nominated charities. Businesses and Merchants use the Software to participate in loyalty, promotional, and marketplace programs and to manage their profiles, offers, and customer engagement. Charities and other causes use the Software to receive contributions, manage their profiles, and participate in fundraising programs. Your permitted use must align with the features available to your account type.

  2. License Grant

    Subject to your compliance with this Agreement, our Terms and Conditions, and any applicable partner, merchant, or charity agreement for your account type, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software only for purposes consistent with your registered or authorised account type, including to: (a) as a Member — shop with participating retailers, earn rewards or cashback, manage your wallet, and support nominated charities; (b) as a Business or Merchant — participate in loyalty and promotional programs, manage your business or merchant profile, offers, and related reporting; and (c) as a Charity or Cause — receive contributions, manage your charity profile, and participate in fundraising and engagement programs made available through the platform.

  3. Relationship with Terms and Conditions

    This Agreement governs your licence to use the Software. If you register or participate as a Member, Business, Merchant, or Charity, you are also bound by our Terms and Conditions and any separate onboarding, merchant, charity, or partner agreement that applies to your account. If there is any inconsistency between this Agreement and those documents regarding your commercial or program obligations, the Terms and Conditions or applicable partner agreement will prevail to the extent of the inconsistency.

  4. Restrictions

    You may not, and you may not permit any third party to:

    • copy, modify, adapt, translate, or create derivative works of the Software;

    • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;

    • rent, lease, lend, sell, sublicense, or otherwise transfer the Software or any rights to it;

    • use the Software for any unlawful purpose or in violation of any applicable law or regulation;

    • interfere with or disrupt the integrity, security, or performance of the Software or related systems;

    • use automated means (including bots, scrapers, or scripts) to access the Software without our prior written consent;

    • remove, alter, or obscure any proprietary notices on or within the Software.

  5. Account Registration and Security

    Certain features require you to create an account. You agree to provide accurate, current, and complete information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

  6. Intellectual Property

    The Software and all content, features, functionality, trademarks, logos, and other materials made available through it are owned by us or our licensors and are protected by intellectual property laws. Except for the limited license granted in this Agreement, no rights are transferred to you.

  7. Third-Party Services and Content

    The Software may integrate with or link to third-party retailers, payment networks, card-linking providers, charities, and other services. We do not control and are not responsible for third-party services or content. Your use of third-party services is subject to their respective terms and policies.

  8. Updates and Modifications

    We may update, modify, suspend, or discontinue any part of the Software at any time, with or without notice. We may also release updates that are required for continued use. You agree that we have no obligation to maintain or support any specific version of the Software.

  9. Termination

    This license is effective until terminated. We may suspend or terminate your access to the Software at any time if you breach this Agreement or for any other reason at our discretion. Upon termination, your right to use the Software ceases immediately. Sections that by their nature should survive termination will survive.

  10. Disclaimer of Warranties

    To the maximum extent permitted by applicable law, the Software is provided on an "as is" and "as available" basis. Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law.

  11. Limitation of Liability

    To the maximum extent permitted by law, our liability to you for any loss or damage arising from or in connection with the Software is limited to re-supplying the relevant services or, at our option, paying the cost of having the services supplied again. Nothing in this Agreement limits liability that cannot be limited under applicable law.

  12. Indemnification

    You agree to indemnify and hold harmless the Licensor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Software, your violation of this Agreement, or your violation of any rights of a third party.

  13. Governing Law

    This Agreement is governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and any courts competent to hear appeals from those courts.

  14. Changes to This Agreement

    We may revise this Agreement from time to time. The updated version will be posted on the Software with a revised "Last updated" date. Your continued use of the Software after changes become effective constitutes your acceptance of the revised Agreement.
